This document sets out the confidentiality rules applicable to the relationship between Technius sp. z o.o. (hereinafter: "Technius") and the Ordering Party (hereinafter: "Client") in connection with the transmission of documents and data for the purpose of conducting an energy analysis or technical consultation.
§ 1. Definitions
Confidential Information – all data, documents, and information provided by the Client to Technius within the scope of order fulfillment, including energy invoices, consumption data, installation parameters, and company data.
Order – an energy analysis (estimated or expert) or technical consultation provided by Technius for the Client.
Parties – Technius and the Client collectively.
§ 2. Scope and purpose of processing
Confidential Information provided by the Client will be used exclusively for the purpose of fulfilling the Order to which the Client has consented.
Technius undertakes not to disclose Confidential Information to third parties, except for subcontractors directly involved in the fulfillment of the Order, who are bound by equivalent confidentiality obligations.
Data will not be used for marketing, sales, or analytical purposes other than those covered by the Order, without the Client's separate consent.
§ 3. Agreement conclusion
The Client's submission of documents in the order form (distribution invoices, sales invoices, energy supply agreements, etc.) constitutes unequivocal acceptance of these NDA Regulations and the conclusion of a confidentiality agreement under the terms set forth herein. A separate signature or document is not required.
§ 4. Validity period
The obligation of confidentiality shall remain in force for the duration of the Order and for a period of 5 years from the date of its completion or cancellation, regardless of the reason for termination of cooperation.
§ 5. Technical safeguards
Submitted documents are stored on encrypted servers located within the European Union.
Access to documents is restricted solely to employees directly involved in the fulfillment of the Order.
Upon completion of the Order, documents are archived for the period required by law and then permanently deleted.
§ 6. Exclusions of liability
The confidentiality obligation does not apply to information that:
is or becomes publicly available without a breach of this agreement,
has been provided to Technius by an authorized third party,
must be disclosed by virtue of applicable law or decisions of public authorities.
§ 7. Consequences of breach
In the event of a breach of the confidentiality obligation by Technius, the Client is entitled to claim compensation under the general principles of the Civil Code. Technius undertakes to promptly inform the Client of any detected or suspected data security breach.
§ 8. Governing law and contact
These NDA Regulations are subject to Polish law. Any disputes arising from their application shall be settled by the court competent for the registered office of Technius sp. z o.o.
